History and Business of Company

The Nextel wireless network's footprint has been molded in the form of the U.S. NEXTEL Communications, Inc. (NXTL) believes digital mobile networks will enable it to become a major provider of high-quality, enhanced mobile communications services, including two-way radio dispatch, paging, data, mobile telephone service and interconnection with the public switched telephone system. Its digital network design and technology should also significantly boost capacity of existing SMR (specialized mobile radio) channels. As of December 31, 1999, NXTL's digital mobile networks served about 4,515,700 subscribers (2,789,900 at December 31, 1998) in 94 of the 100 leading domestic markets. By the end of 2000, the company expects its service to cover nearly all of where America lives or works.

The $30 billion wireless communications market is expected to grow to about $50 billion in 2000, and $75 billion by 2005. NXTL plans to be an active participant in this healthy growth trend. The vast majority of subscribers are dispatch users using the 800/900 megahertz bands of the radio spectrum.

In 1999, the company announced plans to provide its customers access to the Internet and new digital two-way mobile data services through its Nextel Online service offering. NXTL expects the introduction of three new Motorola phones to be the first in a product line that incorporates micro-browsers and enables wireless Internet services, by supplying web-based applications and content directly to subscribers. The company commercially launched Nextel Online service for Internet capable subscriber units in the second quarter of 2000.

As of December 31, 1999, Nextel International's proportionate share of international digital subscriber units in service was estimated to be about 403,500. This number includes total international digital subscriber units on networks in operation in Argentina, Brazil, Canada, Japan, Mexico, Peru, the Philippines and Shanghai, People's Republic of China. As of December 31, 1999, an estimated 1,245,600 total international digital subscriber units were in service on the commercial networks then being operated by Nextel International's subsidiaries and affiliates.

In June 1999, NXTL sold its 50% interest in NEXTBAND Communications, L.L.C. to NEXTLINK Communications for about $138 million in cash (and recognized a gain of about $70 million).
