As the world's leading provider of optical components and modules, JDS Uniphase Corp. (JDSU) supplies the basic building blocks for fiber optic networks, which in turn enable the rapid transmission of large amounts of data over long distances via light waves. The company, which is the product of the June 1999 merger between Uniphase Corp. and JDS Fitel, is employing an aggressive acquisition strategy to broaden its product offerings and increase its manufacturing capacity.

The explosive growth of the Internet and subsequent demand for bandwidth is necessitating capacity expansion in data networks. As a result, service providers are transitioning their networks from electrical to optical technologies. In doing so, they gain several advantages, including unlimited bandwidth scalability, a single infrastructure for multiple services, and lower costs per bit transferred.

To increase bandwidth in optical networks, telecommunications service providers can either lay more fiber, increase the amount of data carried on a single wavelength, or increase the number of wavelengths carrying data on a single fiber. Since laying fiber is an expensive proposition, service providers are trying to optimize their networks with new technologies, which require the use of optical components. Dense wavelength division multiplexing (DWDM) is one such technology, whereby data streams are modulated onto a different wavelength, or color, within a single optical fiber. The wavelengths are then carried simultaneously at designated speeds, thereby increasing the capacity of the network.

In December 1999, JDSU acquired both Orpel Technologies, a developer of optical amplifiers, and SIFAM Ltd., a supplier of fused components for fiber optic networks. In February 2000, the company acquired Optical Coating Laboratory Inc., a leader in optical thin film coating. In June 2000, JDSU completed the $18 billion acquisition of E-TEK Dynamics, a leader in the design and manufacture of passive components for optical networks.

In July 2000, JDSU and SDL, Inc. announced that they had entered into a definitive agreement for JDSU to acquire SDL in a transaction valued at about $41 billion. The transaction provides for the exchange of 3.8 Common shares of JDSU for each SDL share owned.

INCORPORATED in Delaware Oct. 26, 1993 as Uniphase Corp. to succeed a California corporation of the same name which was merged into the company on that date. Present title adopted June 30, 1999 following the merger of Uniphase Corp. and JDS FITEL Inc. Predecessor was incorporated in California May 21, 1979 as Uniphase Holding, Corp.; name changed to Uniphase Corp. Oct. 1, 1987 when Predecessor succeeded the assets, liabilities, and operations of a California concern of the same name (incorporated in 1981).
